End User License Agreement

This End User License Agreement ("Agreement") is a binding legal contract between you ("User" or "you") and Timey ("Developer," "we," or "us"), accessible at apptimey.com. By downloading, installing, or using the Timey mobile application, you agree to be bound by the terms of this Agreement.

1. Acknowledgement

You acknowledge that this Agreement is concluded between you and Timey only, and not with Apple, Inc. ("Apple"). Timey, not Apple, is solely responsible for the Timey application and the content thereof.

2. Scope of License

Timey grants you a non-transferable, non-exclusive license to use the app on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

3. User-Generated Content (UGC)

Timey allows Plus users to upload custom audio files and all users to create room names. You are solely responsible for the content you upload.

  • Safety Policy: You may not upload, share, or display any content that is defamatory, obscene, offensive, hateful, or promotes illegal activity.
  • No Tolerance: There is zero tolerance for objectionable content or abusive users.
  • Moderation: Timey reserves the right (but not the obligation) to review and remove UGC that violates these terms.
  • Reporting: Users can report any objectionable content or abusive behavior by contacting business@timey.com. We act on reports within 24 hours by removing the content and/or ejecting the offending user.

4. Maintenance and Support

Timey is solely responsible for providing any maintenance and support services for the app. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Timey application.

5. Pay to Snooze & Financial Transactions

  • Fees: You acknowledge that for "Pay to Snooze" transactions, Timey retains a 10% platform fee plus Stripe processing fees.
  • No Apple Liability: Any issues regarding payments, transfers to room owners, or billing errors are the responsibility of Timey and its payment processor (Stripe), not Apple.

6. Warranty

Timey is provided "as is." In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app (if any). To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the application.

7. Product Claims

You acknowledge that Timey, not Apple, is responsible for addressing any claims by you or any third party relating to the application, including but not limited to: (i) product liability claims; (ii) any claim that the application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

8. Intellectual Property Rights

In the event of any third-party claim that the application or your possession and use of the application infringes that third party's intellectual property rights, Timey, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

9. Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

10. Termination

The license is effective until terminated by you or Timey. Your rights under this license will terminate automatically without notice if you fail to comply with any terms of this Agreement.

11. Third Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the application (e.g., your wireless data service agreement or Stripe's user agreement).
